The Role
As a Senior Associate Lawyer at Carta, you will join the Contracts - North Americas function, managing the full lifecycle of commercial contracts for clients. You will work directly with sophisticated investment fund and asset manager clients, alongside fellow lawyers and paralegals.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
Requirements
- Commercially minded and client-focused, with 4+ years of post-law school corporate or transactional experience
- Experienced in transactional law, with a track record of independently negotiating pre-M&A contracts
- Familiar with financial services, having worked with asset managers, investment banks, or other financial services firms
- Law degree and licensed to practice in the Americas (US/Canada)
- Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite

Salary Range
The expected cash compensation range for this role is $126,000 - 157,600 CAD in Toronto.
