Contract Solutions Counsel

The Role

As a Contract Solutions Counsel on the Contracts team at Carta, you will negotiate and manage high volumes of pre-M&A contracts, serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, and contribute to the continuous improvement of Carta's legal technology suite.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Requirements

• 6-8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
• Experience working with asset managers, investment banks, or other financial services firms and understanding their expectations
• Law Degree and licensed to practice in the Americas (US/Canada)
• Commercially minded and client-focused, with excellent communication skills
• Tech-savvy and adaptable, with experience working with legal technology suites (e.g. AI tools, HighQ)

Salary Range

The expected cash compensation (salary + commission if applicable) range for this role is: $157,600 - $197,000 CAD in Toronto
