Reporting to our Senior Company Secretary, this role offers an opportunity to play a key part in developing the governance infrastructure of a scaling international fintech, ensuring effective subsidiary board support and contributing to the integrity of our corporate records and Group governance processes.
Responsibilities
Subsidiary Governance
- Provide end-to-end Board support for a growing and fast-paced subsidiary business and its UK/international subsidiaries and branches.
- Maintain timely information flows, uphold high standards of board paper quality and offer trusted governance advice.
- Draft subsidiary board and shareholder resolutions for routine and ad hoc matters.
- Coordinate internal approvals for UK and international subsidiaries/branches.
- Act as the Group Company Secretariat workstream lead for international expansion projects.
- Manage Companies House and local registrar filings and ensure statutory registers are accurate and up to date.
- Maintain precise internal entity records and handle the distribution of Board materials.
Group Governance and Corporate Administration
- Support the Group in meeting its statutory, regulatory, and corporate governance obligations.
- Contribute directly to major projects like the Annual Report and AGM planning.
- Support governance and administration related to employee share schemes.
Team Collaboration
- Share knowledge openly within the team and actively support the professional development of the Junior Company Secretarial Assistant.
- Bring a proactive, growth-oriented and risk-management focused mindset to the daily operations of the Group Company Secretariat team.
Requirements
Essential Criteria
- Minimum of 3 years of experience working within a busy Company Secretariat team.
- Professionally qualified (CGI Grad / ACG).
- Experience with entity management software and board portals.
- Excellent interpersonal and communication skills.
- Experienced in handling sensitive and confidential information.
- Highly organised, detail-oriented, and capable of managing workload.
- A flexible, ‘can-do’ attitude with a strong sense of ownership and accountability.
Desirable Criteria
- Company Secretariat experience within a financial services environment.
- Prior experience supporting the governance and administration of employee share schemes.
