Contract Solutions Counsel

The Role

You'll join Carta's Carta Law team as a Contract Solutions Counsel, specifically within the Contracts - Americas function. Your primary focus will be negotiating and managing high volumes of pre-M&A contracts, serving as the main day-to-day contact for sophisticated investment fund and asset manager clients.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Requirements

• Commercially minded and client-focused, with the ability to communicate legal advice crisply and concisely
• Experienced in transactional law, with 6-8+ years of post law school corporate or transactional experience
• Familiar with financial services, having experience working with asset managers, investment banks, or other financial services firms
• Law Degree and licensed to practice law in the Americas (US/Canada)
• Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite

Salary Range

The expected cash compensation (salary + commission if applicable) range for this role is:

• $149,600 - $187,000 in Hamilton Township, NJ
• $167,200 - $209,000 in Seattle, WA
• $140,800 - $176,000 in Sandy, UT
