Corporate Counsel

Job Overview

The Legal team at xAI partners with various functions to drive business velocity, protect IP, navigate AI regulations, and mitigate risks. As Corporate Counsel, you will provide expert counsel on M&A, securities, and strategic transactions globally.

Responsibilities

• Lead domestic and international M&A and strategic transactions, including diligence, deal structuring, drafting/negotiating agreements, and board materials
• Provide securities counsel and support, including SEC reporting, disclosures, insider trading policies, and corporate governance
• Partner with corporate development, finance, engineering, and exec teams to execute a seamless deal process
• Drive post-closing integration, ensuring operational alignment and value capture
• Build scalable processes, templates, and playbooks for M&A and strategic deals
• Advise on equity compensation, corporate governance, and subsidiary management
• Provide counsel on general corporate matters, including commercial contracts and tech partnerships
• Support emerging issues like AI safety/regulatory compliance and IP in models/data

Basic Qualifications

• J.D. from an accredited law school; active CA bar membership
• 5+ years in Corporate or M&A at a top-tier national law firm, with Capital Markets and securities experience
• Deep expertise in domestic/cross-border M&A
• Detail-oriented self-starter with exceptional communication skills
• Flexible team player with a passion for xAI's mission

Compensation and Benefits

• Annual Salary Range: $220,000 - $260,000 USD
