Description
We're looking for a Corporate and Securities Counsel to join our team. As a member of our legal department, you will provide support for and advice on general corporate governance and securities law matters and projects. This includes ensuring compliance with public company reporting and disclosure requirements, supporting the annual meeting of stockholders, and supporting the administration of key corporate policies and programs.
You will also provide support for the Board of Directors and executive leadership team on governance- and shareholder-related matters, including preparation and review of agenda and materials for meetings of the Board and its committees. Additionally, you will support corporate transactions, including drafting and negotiation of NDAs, letters of intent, definitive agreements, and other ancillary documents in mergers and acquisitions and financial transactions.
To be successful in this role, you will need to have a Juris Doctor (J.D.) from an ABA accredited institution, a current, active license to practice law in the United States, and prior relevant experience in corporate governance and securities law. You should also have excellent judgment, attention to detail, communication (verbal and written), organizational and interpersonal skills, and the ability to work collaboratively across multiple groups and functions.
