You're joining Carta's Contracts - APAC team, part of Carta Law, the largest AI-native law firm for private capital.
As a Senior Contract Solutions Lawyer, you'll independently negotiate and execute high volumes of pre-M&A contracts, serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, and maintain and evolve client-specific contract playbooks.
Responsibilities:
- Independently negotiate and execute high volumes of pre-M&A contracts , NDAs, NRLs, joinders, and engagement letters , liaising directly with counterparties against agreed SLAs.
- Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, building trusted advisor relationships.
- Maintain and evolve client-specific contract playbooks, ensuring consistency and quality across every negotiation.
- Mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Use and continuously improve Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
- Manage the full contract lifecycle for each matter, from first review through execution and system logging.
Requirements:
- Law Degree and licensed to practice in any APAC jurisdictions, the UK, US, or Canada, with 5+ PQE.
- Track record of independently negotiating pre-M&A contracts like NDAs, NRLs, joinders, and engagement letters in a financial services legal environment.
- Ability to build lasting relationships with sophisticated investment fund and asset manager clients and communicate legal advice crisply.
- Commercially minded, balancing legal risk against business objectives and flagging issues before they escalate.
- Collaborative leader, mentoring junior lawyers and paralegals and taking ownership of work in a fast-paced environment.
- Proficiency with AI-backed contract review tools and willingness to improve them.
- Language capability in Japanese, Korean, or Mandarin is highly preferred.
