Engagement Letter Lawyer

Job Description

You'll join Carta's Carta Law Contracts team in London, UK, working as an Engagement Letter Lawyer. Carta is transforming how private capital operates with its connected platform and AI-native ecosystem.

Responsibilities

• Review, negotiate and finalise engagement letters for clients, working from client playbooks and keeping to agreed turnaround times.
• Be the day-to-day contact for clients on engagement letter matters, liaising directly with counterparties and resolving queries without escalation where possible.
• Keep client playbooks current by feeding back the positions and fallback terms seen in negotiations.
• Support the wider Contracts team on NDAs and other routine commercial contracts as volumes require.
• Use AI-backed tools in daily work, give product feedback, and share knowledge with paralegals and junior lawyers.

Requirements

• 5+ years' PQE with experience in negotiating engagement letters and similar pre-M&A contracts.
• Qualified to practise law in the UK, Europe, US, or Canada.
• Familiarity with financial services, having worked with asset managers, investment banks, or other financial services firms.
• Commercially minded and client-focused, with ability to give crisp, practical advice.
• Comfortable with AI-backed legal tools and an interest in legal tech.
• Self-motivated, able to prioritise well in a fast-paced environment, and look for ways to improve processes.
