Job Overview
You'll join Carta's Contracts - Americas function as a Senior Associate Contract Solutions Lawyer. Carta is a connected platform and AI-native ecosystem for private capital, replacing fragmented tools with a single system of record.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
- Serve as primary day-to-day contact for sophisticated investment fund and asset manager clients, building trusted advisor relationships.
- Maintain and update client playbooks, ensuring consistency and quality across all contract negotiations.
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
Requirements
- Commercially minded and client-focused, with experience in transactional law and 4+ years of post-law school corporate or transactional experience.
- Familiar with financial services, having worked with asset managers, investment banks, or other financial services firms.
- Law degree and licensed to practice in the Americas (US/Canada).
- Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite.
Salary
- Expected cash compensation (salary + commission if applicable) ranges from:
- $119,000 - $148,750 in Denver, CO
- $112,000 - $140,000 in Sandy, UT
- $133,000 - $166,250 in Seattle, WA
