About the role
Datadog is seeking a Manager, Global Entity Management to oversee entity formation and maintenance in many jurisdictions, corporate records, and statutory filings. The role involves daily coordination with Finance, Tax, and People teams, as well as interaction with government agencies, registries, registered agents, and local counsel worldwide.
Responsibilities
Global Entity Management
- Manage entity lifecycle, including formations, foreign qualifications, branch registrations, conversions, mergers, dissolutions, liquidations, and deregistrations.
- Ensure entities are in good standing through annual reports, returns, statutory filings, and business licenses.
- Interact with government agencies, company registries, tax authorities, and chambers of commerce.
- Maintain the global entity compliance calendar and track key deadlines.
- Monitor director and officer appointments and resignations, and update internal systems accordingly.
- Review legacy and dormant entities for potential consolidation or dissolution.
Corporate Records and Governance
- Maintain corporate records, including minute books, statutory registers, and organizational charts.
- Draft governance documents, such as board and stockholder resolutions, and organizational documents.
- Handle internal and external requests for certificates of good standing and other documents.
KYC and Due Diligence Support
- Respond to Know Your Customer (KYC) and Ultimate Beneficial Ownership (UBO) requests.
- Compile and maintain entity ownership and governance documentation.
Working with Finance, Tax, and People
- Coordinate with tax teams on entity changes and restructuring.
- Support finance teams with statutory audits and bank account management.
- Collaborate with the People team on entity setup and corporate steps for new country openings.
Systems, Data, and Process
- Manage Diligent Entities as the system of record for entity data.
- Conduct periodic audits of entity records and improve data quality.
- Develop and maintain trackers, workflows, and standard operating procedures.
- Explore automation and AI opportunities within entity management.
Securities Support
- Prepare and file Section 16 forms and administer Rule 10b5-1 plans.
- Provide entity data for SEC filings and support board and committee matters.
Requirements
- Seven or more years of hands-on entity management experience with a multi-jurisdictional portfolio.
- Practical experience with entity formation, maintenance, and compliance in multiple countries.
- Direct experience interacting with government agencies and company registries.
- Proficiency with an entity management platform, preferably Diligent Entities.
- Strong document and spreadsheet skills, particularly in Word and Excel.
- Drafting skills for corporate governance documents.
- Organizational skills with attention to detail and ability to manage multiple deadlines.
- Experience managing or mentoring junior colleagues.
- Willingness to learn securities reporting and be cross-trained across Legal Operations.
Nice to Have
- Exposure to Section 16, Forms 144, Rule 10b5-1 administration, or public company reporting.
- Experience implementing or migrating an entity management system.
- Background in rationalizing a legacy entity portfolio.
- Familiarity with legal technology or AI tools.
- Notary public commission in New York or willingness to obtain one.
