As Commercial Counsel at Brex, you will be an integral and versatile member of the Legal team and will support all aspects of the Company's commercial legal efforts.
Responsibilities:
- Draft, review, and negotiate customer agreements, from initial legal review through final signature, in partnership with sales, deal desk, and other stakeholders.
- Support the legal review and negotiation of a wide variety of inbound commercial contracts, including AI, SaaS, and other technology agreements, master and professional services agreements, consulting agreements, marketing, agency, and media contracts, event agreements, and non-disclosure agreements.
- Drive continuous improvement in commercial contracting processes, including developing and refining contracting playbooks, internal policies and procedures, and leveraging and optimizing AI contracting tools and contract lifecycle management (CLM) workflows.
- Identify and mitigate contractual risks within established parameters, escalating complex issues to SMEs and senior legal team members as needed.
- Provide sound, business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks and opportunities.
- Collaborate closely with internal stakeholders to understand business needs, contextualize transactions, and translate business, operational and product requirements into clear legal terms and conditions.
Requirements:

- Minimum of 3-5 years of relevant experience practicing commercial law, either in-house at a technology company or within the corporate/tech transactions department of a reputable law firm.
- Juris Doctor (JD) and active bar membership in good standing in at least one US jurisdiction.
- Demonstrated experience drafting, reviewing, and negotiating complex technology and commercial contracts; experience with both customer-facing and vendor/inbound contracting is ideal.
- Exceptional judgment, attention to detail, and integrity, with the ability to manage multiple priorities and deadlines in a fast-paced environment.
Bonus Points:
- Fintech or financial services experience, or familiarity with fintech product structures.
- Working knowledge of privacy issues in a commercial context.
- Experience working directly with a deal desk team.
- Experience working with AI contracting tools or contract lifecycle management (CLM) technology.
The expected salary range for this role is $220,000-$270,000 USD.
