## Description

We are seeking a Manager, Counsel to join our Corporate and Strategic Transactions (CAST) team within Capital One's Legal Department.

The CAST team executes on Capital One's transactional activity, including mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions.

As a Manager, Counsel, you will be responsible for:

- Assisting in managing a wide range of transactions, including correspondent banking transactions, intercompany agreements, and confidentiality agreements

- Working with complex due diligence reviews, business line partnerships, and other business agreements

- Counseling and advising business groups on complex legal issues

- Implementing and monitoring repeatable, controlled processes for transactional work

- Managing and coordinating outside counsel, including management of the delivery of services and cost

The successful candidate will be a seasoned legal professional with:

- A Juris Doctor from an accredited law school

- Active membership in good standing of at least one state bar with the ability to register as Corporate Counsel in Virginia

- At least 3 years of experience as an attorney in a law firm environment, at a government agency, as a military judge advocate, or as in-house counsel, with a focus on transactional matters

Preferred qualifications include:

- Experience drafting and negotiating commercial transactions, including in-house procurement or supply chain management transactions, and marketing arrangements

- Experience providing advice and counsel on transactions to clients in the financial services industry

- Ability and desire to learn new areas of law

- Experience with Google Workspace

The salary range for this role is:

- McLean, VA: $164,800 - $188,100 per year

- Richmond, VA: $149,800 - $171,000 per year

This role is also eligible to earn performance-based incentive compensation, which may include cash bonus(es) and/or long-term incentives (LTI).
