## Description

The Corporate Counsel will provide practical, business-oriented legal support for Freenome's various priorities.

In this role, you will draft and negotiate a broad range of agreements, advise cross-functional teams on legal risk, and manage matters from intake through signature and closeout.

Responsibilities:

### Commercial & Strategic Contracting

- Draft, review, and negotiate commercial, vendor, professional services, technology, software, data, confidentiality, and strategic collaboration agreements.

- Advise on contract structure and risk allocation, including liability, indemnification, insurance, intellectual property, publications, data security, payment, and termination terms.

- Translate business objectives into clear contract terms, coordinate internal review and approvals, and move negotiations forward with counterparties.

- Support strategic partnerships, commercialization initiatives, health-system collaborations, and other business-critical programs with responsive, balanced legal guidance.

### Clinical, Research and Healthcare Agreements

- Draft and negotiate clinical trial and site agreements, amendments, material transfer agreements, research and collaboration agreements, business associate agreements, and data-sharing terms.

- Partner with Clinical, Corporate Development, Commercial, Finance, and other stakeholders to align scopes, budgets, payment terms, specimen use, publication rights, and intellectual property provisions.

- Identify and address healthcare, privacy, and compliance issues, including HIPAA and data-security requirements, and coordinate with subject-matter experts when specialized advice is needed.

- Prepare and maintain amendments and templates that accurately reflect entity changes, assignments, study updates, new workstreams, and agreed business terms.

- Drive agreements from initial issue spotting and redlines through clean copy, signature routing, confirmation of execution, and delivery of the fully executed agreement.

### Legal Operations & Cross-Functional Partnership

- Maintain accurate matter status in the contract lifecycle management system from intake through counterparty review, internal approval, signature, and closeout.

- Coordinate signature workflows, confirm required approvals and signature authority, and ensure executed agreements and related records are captured in the appropriate repository.

- Use and improve templates, fallback language, playbooks, and intake processes that help the business move efficiently while preserving appropriate legal controls.

- Provide clear status updates, surface dependencies and open issues early, and communicate legal recommendations in practical language to business partners and legal leadership.

### Business Partnership and Risk Management

- Exercise sound judgment to distinguish material legal risks from acceptable business tradeoffs, develop workable compromises, and escalate significant issues at the right time.

- Counsel stakeholders on confidentiality, publications, privacy, data security, insurance, intellectual property, and other recurring contracting risks.

- Collaborate with senior legal team members, internal subject-matter experts, and outside counsel on complex or specialized matters while retaining day-to-day ownership and follow-through.

### Requirements

- JD from an accredited law school and active membership in good standing with at least one state bar (California preferred, or eligible for Registered In-House Counsel status).

- 5+ years of relevant legal experience, with substantial responsibility for drafting and negotiating complex agreements; in-house experience in biotech, life sciences, diagnostics, medical device, or healthcare is strongly preferred.

- Demonstrated experience with a varied agreement portfolio, such as MSAs, SOWs, vendor and technology agreements, NDAs, clinical trial agreements, MTAs, research collaborations, and data-related agreements.

- Working knowledge of life sciences and healthcare contracting issues, including clinical research, HIPAA and data privacy, information security, publications, and intellectual property allocation.

- Hands-on experience using contract lifecycle management and electronic-signature systems to track matters, route approvals and signatures, and maintain reliable executed records.

- Excellent drafting, negotiation, project-management, and communication skills, with the ability to manage multiple matters and deliver clear, actionable advice.

- A practical, collaborative, and detail-oriented approach, strong ownership and urgency, and sound judgment that balances legal risk with clinical, commercial, and strategic goals.

### Benefits

- The US target range of our base salary rate for new hires is $161,925 - $227,325.
