## Description

CoreWeave is seeking a dynamic Senior Counsel, Capital Markets, to join our Legal and Government Affairs team. As a Senior Counsel, Capital Markets, you will support a broad range of corporate transactional matters, including capital markets transactions, M&A, and strategic investments.

Responsibilities:

- Support complex corporate transactional matters, including capital markets transactions, M&A, and strategic investments.

- Draft, negotiate, and review transaction documentation, provide advice on deal structuring and strategy, and conduct due diligence and ongoing compliance.

- Partner with Corporate Development and other cross-functional teams to execute transactions.

- Support legal and other departments in managing post-closing obligations.

- Work collaboratively to prioritize business objectives and support overall company success.

- Work efficiently with outside counsel.

- Support other internal legal initiatives and projects as needed.

Requirements:

- J.D. from an ABA-accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).

- 5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&A, and securities.

- In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm.

- Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.

- Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners.

- Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and empower others to deliver.

- Excellent drafting, project management, and legal interpretation skills.

- Commitment to professional conduct, excellence, and attention to detail under time pressure.

- Ability to balance legal risk mitigation against key business objectives and risks.

- Ability to manage outside counsel efficiently and balance legal risk mitigation against key business objectives and risks.
